(Short Form Agreement)
between

THE UNIVERSITY OF MAINE SYSTEM
Acting through the University of Maine
BY THIS AGREEMENT, entered into on ___ day of ____ 20__
between _______________________________________________________ (hereinafter
referred to as "____________"), and the University of Maine System
acting through the University of Maine, (hereinafter referred to as
"University"), and
WHEREAS _______ intends to engage the University to perform
certain professional services for a project known
as___________________________________________ hereinafter called the
"Project."
NOW THEREFORE, ___________ and the University for considerations
hereinafter set forth do hereby agree as follows:
ARTICLE 1 - Scope of Work
The University will use all reasonable
efforts to carry out the scope of work as described in the proposal entitled
"________________________________________" which is attached as
Appendix A and is hereby made a part of this Agreement.
ARTICLE 2 - Key Personnel
The individual responsible for conduct of the
work under this Agreement is ________________. If the individual responsible
for the conduct of the work changes, ________ will be notified in writing
immediately.
ARTICLE 3 - Changes in the Work
_________________ and the University may make
additions to the scope of work by mutual written agreement only. The provisions
of this Agreement, with appropriate changes in the Project costs and completion
schedule, shall apply to all additions.
ARTICLE 4 - Period of Performance
This Agreement shall commence on ___________
and continue through ____________________.
ARTICLE 5 - Compensation
The estimated cost for complete performance
of this Agreement is $______ of which $______ represents ______ share and
$_____ represents the University's share. Budget detail is shown in Appendix A
attached hereto.
The University will submit line-item monthly

ARTICLE 6 - Rebudgeting
The individual designated under key personnel
is authorized to approve line-item budget changes as needed in order to achieve
project objectives.
ARTICLE 7 - Fiscal Reports
The University shall furnish __________ a
final fiscal report no later than ninety (90) days after the Period of
Performance.
ARTICLE 8 - Project Reports
The University shall prepare by
______________ three copies of a final report in form and detail satisfactory
to ___________ describing the work done and results obtained and deliver such
copies as follows:

Title to and rights to determine the
disposition of all reports or other documents produced in the performance of
this Agreement will reside with the University, provided that __________ shall
have the right to use, reproduce, display or dispose of such reports or
documents without restriction or accountability to the University.
ARTICLE 9 - Equipment
As a non-profit organization, title to all
equipment purchased with Project funds will reside with the University.
University may determine the disposition of the equipment at any appropriate
time.
ARTICLE 10 - Termination
This Agreement may be terminated by either
party upon thirty (30) days written notice to the other party. Upon receipt of
such notice from _________, University shall take the necessary action to
cancel outstanding purchase orders and other commitments relating to the work
under this Agreement. _________ shall pay for costs and noncancelable
commitments incurred prior to the specified date of termination.
ARTICLE 11 - Miscellaneous
None of the provisions of this Agreement, nor
the appendices may be amended, limited or otherwise modified, or altered except
by a written instrument, expressly referring to this Agreement and signed by
__________ and the University.
ARTICLE 12 - Extent of Agreement
This Agreement represents the entire
agreement between ________ and the University and supersedes all prior
negotiations, representations or agreements, either written or oral, for this
Project.
IN WITNESS WHEREOF the parties hereto have entered into this Agreement
as of the day and year first written above.
